Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website jazdibar.com (the "Website") and the professional consulting and advisory services ("Services") provided by Dr. Jazmín Díaz-Barrios ("Consultant," "we," "us," or "our").

By accessing the Website or engaging our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Website or Services.

1. Services Offered

The Consultant offers professional services including, but not limited to:

  • Strategic planning and management consulting
  • Financial control and organizational diagnosis
  • Research methodology consulting and academic advisory
  • PhD and Master's thesis tutoring
  • Corporate training and professional development

Specific service details, scope, deliverables, and fees will be outlined in individual engagement agreements or proposals.

2. Consultations and Bookings

2.1 Discovery Calls

Initial discovery calls are intended to assess potential fit between the Consultant and prospective client. These calls do not constitute a formal consulting engagement and do not create a client-consultant relationship.

2.2 Paid Consultations

Paid consulting engagements require a signed agreement or written confirmation outlining:

  • Scope of work and deliverables
  • Timeline and milestones
  • Fees and payment terms
  • Cancellation and refund policies

2.3 Scheduling and Cancellations

Appointments scheduled through our booking system (TidyCal or other platforms) are subject to the following:

  • Clients may cancel or reschedule appointments at least 24 hours in advance without penalty
  • Cancellations made less than 24 hours before the scheduled time may forfeit payment
  • No-shows without prior notice will forfeit full payment
  • The Consultant reserves the right to cancel or reschedule appointments due to unforeseen circumstances

3. Payment Terms

3.1 Fees

Consulting fees will be specified in individual engagement agreements. Payment terms may include:

  • Hourly rates for consultation sessions
  • Project-based fees for defined scope of work
  • Retainer agreements for ongoing advisory services

3.2 Payment Methods

Accepted payment methods will be specified in the engagement agreement and may include bank transfer, PayPal, or other electronic payment platforms.

3.3 Late Payment

Invoices are due within the timeframe specified in the engagement agreement (typically 15-30 days). Late payments may be subject to interest charges and may result in suspension of services.

3.4 Refunds

Refund policies will be outlined in individual engagement agreements. Generally:

  • Fees for completed work are non-refundable
  • Unused retainer balances may be refunded upon termination of engagement
  • Disputes regarding refunds will be addressed on a case-by-case basis

4. Intellectual Property

4.1 Consultant's Materials

All methodologies, frameworks, templates, and proprietary materials developed by the Consultant remain the intellectual property of the Consultant unless otherwise specified in writing.

4.2 Client Materials

Clients retain ownership of their proprietary information, data, and materials provided to the Consultant.

4.3 Deliverables

Upon full payment, clients receive a non-exclusive license to use deliverables created specifically for their engagement, for their internal business purposes only.

5. Confidentiality

The Consultant will maintain the confidentiality of client information shared during the engagement. However:

  • Information already in the public domain is not considered confidential
  • The Consultant may use anonymized case studies or general insights for educational purposes
  • The Consultant may disclose information if required by law or legal process

For engagements requiring strict confidentiality, a separate Non-Disclosure Agreement (NDA) may be executed.

6. Academic Advising and Thesis Tutoring

For academic services including thesis tutoring and research methodology consulting:

  • The Consultant provides guidance, feedback, and mentorship only
  • All academic work remains the original work of the student/client
  • Students are responsible for ensuring compliance with their institution's academic integrity policies
  • The Consultant does not write content on behalf of students or engage in academic dishonesty
  • Services are advisory in nature and do not guarantee specific academic outcomes or grades

7. Disclaimer of Warranties

The Services are provided "as is" without warranties of any kind, express or implied. The Consultant does not guarantee specific results or outcomes from consulting engagements.

While the Consultant exercises professional judgment and care, clients acknowledge that:

  • Business outcomes depend on numerous factors beyond the Consultant's control
  • Recommendations are based on information provided by the client and may require adjustment as circumstances change
  • The Consultant is not liable for client's implementation decisions or results

8. Limitation of Liability

To the maximum extent permitted by law, the Consultant's total liability for any claims arising from Services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

The Consultant shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9. Professional Relationship

The relationship between the Consultant and client is that of independent contractor. Nothing in these Terms creates an employment, partnership, or joint venture relationship.

10. Termination

Either party may terminate an engagement with written notice as specified in the engagement agreement. Upon termination:

  • Client shall pay for all work completed and expenses incurred up to the termination date
  • The Consultant will deliver all completed work products
  • Confidentiality obligations continue after termination

11. Website Use

You agree to use the Website only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Website in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any portion of the Website
  • Interfere with or disrupt the Website's operation
  • Use automated systems to access the Website without permission

12. Third-Party Links

The Website may contain links to third-party websites (e.g., academic profiles, booking systems). The Consultant is not responsible for the content, privacy practices, or terms of service of third-party sites.

13. Indemnification

You agree to indemnify and hold harmless the Consultant from any claims, damages, liabilities, and expenses arising from your use of the Website or Services, or your violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws applicable to the Consultant's place of business, without regard to conflict of law principles.

Any disputes arising from these Terms or the Services shall be resolved through good faith negotiation. If negotiation fails, disputes may be submitted to mediation or arbitration as mutually agreed.

15. Changes to Terms

The Consultant reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Website with an updated "Last Updated" date. Continued use of the Website or Services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with any engagement agreements or proposals, constitute the entire agreement between you and the Consultant regarding the Services and supersede all prior agreements and understandings.
